RESPONSIBILITIES
Assisting with and advising on corporate governance and corporate secretarial matters, including the following:
- Provide support for boards of directors and board committees, including preparation of meeting materials, resolutions and consents, committee charters, minutes, and relevant research
- Advise on compliance with other applicable regulations, including Delaware law, Sarbanes-Oxley, and applicable governance requirements and best practices
- Oversee corporate governance matters involving senior officers and directors, including director independence and related person transactions
- Assist with general corporate matters, including strategic transactions and firmwide initiatives related to subsidiary management and corporate governance
- Provide advice and counsel on corporate secretarial matters, including subsidiary governance best practices, constituent documentation for subsidiaries, and transactions impacting the corporate structure
QUALIFICATIONS
- Excellent writing, editing, and oral communication skills, with keen attention to detail
- Flexibility and ability to work in a fast-paced environment and manage multiple projects simultaneously while prioritizing responsibilities and various deadlines
- Ability to maintain a high level of professional integrity, discretion, and confidentiality
