Assisting with and advising on corporate governance and corporate secretarial matters, including the following:

  • Provide support for boards of directors and board committees, including preparation of meeting materials, resolutions and consents, committee charters, minutes, and relevant research
  • Advise on compliance with other applicable regulations, including Delaware law, Sarbanes-Oxley, and applicable governance requirements and best practices
  • Oversee corporate governance matters involving senior officers and directors, including director independence and related person transactions
  • Assist with general corporate matters, including strategic transactions and firmwide initiatives related to subsidiary management and corporate governance
  • Provide advice and counsel on corporate secretarial matters, including subsidiary governance best practices, constituent documentation for subsidiaries, and transactions impacting the corporate structure


  • Excellent writing, editing, and oral communication skills, with keen attention to detail
  • Flexibility and ability to work in a fast-paced environment and manage multiple projects simultaneously while prioritizing responsibilities and various deadlines
  • Ability to maintain a high level of professional integrity, discretion, and confidentiality
